Sammaan Capital Limited has informed the Exchange regarding 'This is further to our earlier intimations dated December 31, 2025, April 22, 2026 and May 7, 2026 with respect to the proposed Scheme of Arrangement, subject to the receipt of the requisite regulatory/ statutory approvals.We wish to inform you that the NCLT, vide its order dated June 12, 2026 (hereinafter referred to as the Order ) which was uploaded on June 12, 2026 on the NCLT website, has allowed the first motion application filed in relation to the Scheme.The NCLT vide its Order, has inter alia: (i) Dispensed with the meeting of the equity shareholders of the Demerged Company;(ii) Dispensed with the meeting of the secured and unsecured creditors of the Resulting Company and the Demerged Company;(iii) Directed convening of the meeting of the equity shareholders of the Resulting Company, for approving the Scheme through video conferencing or any other audio-visual means capable of being recorded.A copy of the Order is enclosed herewith and is also available on the website of the Company at https://www.sammaancapital.com/scheme-of-arrangement.
