In furtherance to our prior intimation dated June 23, 2026 and pursuant toRegulation 30 of the Securities and Exchange Board of India (Listing Obligationsand Disclosure Requirements) Regulations, 2015 ( SEBI Listing Regulations ),the Board of Directors of Genesys International Corporation Limited ( theCompany ) at their meeting held today i.e. Friday, June 26, 2026 has consideredand, inter alia, approved the issue of Equity Shares of the Company of face value ofRs. 5/- each (the Equity Shares ) for an amount up to and not exceeding Rs.13,930 Lakhs by way of Rights Issue to the eligible Shareholders of the Company ason the record date (to be determined and notified subsequently, and such issue,the Rights Issue ), in accordance with applicable laws, including the CompaniesAct, 2013, as amended, the Securities and Exchange Board of India (Issue of Capitaland Disclosure Requirements) Regulations, 2018 (the SEBI ICDR Regulations ),as amended, subject to such regulatory and statutory approvals, as may be relevantunder the applicable laws.
